Welcome to Peapods to Chanterelles by The Passionate Chef Inc., DBA “Cheese Whats?”, (“we”, “us”, “our”). By accessing our website www.cheesewhats.ca or purchasing our products, you agree to these Terms & Conditions. If you are applying for or using a Wholesale Account, the additional provisions in Part B specifically apply to you.

Part A: General Terms (All Users)

1. Account Registration

To make a purchase, you must register an account. You agree to provide accurate, current, and complete information and are responsible for maintaining the confidentiality of your login credentials.

2. Pricing, Payment & Taxes

• Pricing: All prices are in Canadian Dollars (CAD). We reserve the right to change prices without notice.
• Payment: We accept Visa, MasterCard, and other methods via Wix Payments. Payment is required at checkout.
• Taxes: Most of our food products are zero-rated (tax-exempt) for GST/HST. However, taxable shipping or non-food items will be charged applicable taxes based on your shipping address.

3. Shipping & Returns

Our shipping and return practices are governed by our Shipping & Returns Policy, which is incorporated into these Terms by reference. Please review it for details on delivery areas, risk of loss, and claims for damaged goods.

4. Intellectual Property

All content on this site (including text, recipes, photography, logos, and graphics) is the exclusive property of Peapods to Chanterelles by The Passionate Chef Inc., DBA “Cheese Whats?”. You may not reproduce, distribute, or use our content without prior written consent.

5. Limitation of Liability

To the fullest extent permitted by law, our liability for any claim arising from your use of our products is limited to the purchase price of the product. We are not liable for indirect, incidental, or consequential damages (e.g., business interruption, allergies where ingredients are listed).

6. Governing Law

These Terms are governed by the laws of Ontario and the federal laws of Canada. Any disputes shall be resolved exclusively in the courts of Toronto, Ontario.

Part B: Wholesale Specific Terms

The following terms apply exclusively to approved Wholesale Accounts (Retailers & Foodservice).

7. Eligibility & Approval

Wholesale accounts are available only to approved businesses in Ontario. We reserve the right to approve or decline applications at our discretion.

8. Wholesale Orders & Shipping

• Minimums: See individual items pages for minimum requirements.
• Free Shipping: Orders of 4+ cases to one address ship free.
• Standard Shipping: Orders of 3 cases or fewer are charged shipping at checkout.
• FOB Point: Toronto, Ontario. Risk of loss transfers to you upon handover to the carrier.

9. Resale & Branding Restrictions

• Packaging: Products must be sold in original "Cheese Whats?" packaging. No private labeling or repacking allowed.
• Online Sales: Retailers selling online must use our official marketing package. You may not use your own photography without permission. Request assets at info@cheesewhats.ca.
• Territory: Authorized for resale only within Canada.

10. Wholesale Claims

You must report damage, defects, or shortages within 5 business days of receipt. We do not accept returns for unsold inventory.
